Terms of Use
These Terms of Use govern your access to and use of the Buesuite HCM platform and services. Please read them carefully before using our Services.

By accessing or using the Buesuite platform, you agree to be bound by these Terms of Use, our Privacy Policy, Data Processing Agreement, and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access or use our Services.
01 Definitions
The following definitions apply throughout these Terms of Use:
- "Agreement" means these Terms of Use, together with any Order Form, SOW, or other documents incorporated by reference.
- "Buesuite," "we," "us," or "our" means Buesuite Technologies Pvt. Ltd. and its affiliates.
- "Customer," "you," or "your" means the individual or entity that has agreed to these Terms.
- "Services" means the Buesuite HCM platform, including all modules, features, applications, and related services.
- "Customer Data" means all data, content, and information uploaded, submitted, or transmitted by or on behalf of Customer through the Services.
- "Users" means individuals authorized by Customer to access and use the Services.
- "Subscription Term" means the period during which Customer is authorized to use the Services as specified in the Order Form.
- "Documentation" means the user guides, help articles, and technical documentation provided by Buesuite.
02 Account & Registration
2.1 Account Creation
To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.2 Eligibility
You must be at least 18 years old and have the legal authority to bind your organization to this Agreement. By registering, you represent that you meet these requirements.
2.3 Account Security
- Use strong, unique passwords for your account
- Enable multi-factor authentication (MFA) when available
- Immediately notify us of any unauthorized access
- Do not share account credentials with unauthorized parties
2.4 Administrator Responsibilities
Account administrators are responsible for managing user access, assigning roles and permissions, and ensuring all users comply with these Terms.
We strongly recommend enabling Single Sign-On (SSO) and Multi-Factor Authentication for all users. These features are available on Professional plans and above.
03 Services & License Grant
3.1 License Grant
Subject to your compliance with this Agreement and payment of applicable fees, Buesuite grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services during the Subscription Term solely for your internal business purposes.

3.3 Service Modifications
Buesuite may modify, update, or enhance the Services at any time. We will provide reasonable notice of material changes. Continued use after changes constitutes acceptance.
04 Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with this Agreement. The following guidelines outline permitted and prohibited uses:
Permitted Uses
- Managing employee data and HR processes
- Conducting performance reviews and feedback
- Tracking time, attendance, and leave
- Processing payroll and compensation
- Recruiting and onboarding employees
- Creating reports and analytics
- Integrating with authorized third-party services
- Customizing workflows and configurations
Prohibited Uses
- Violating any applicable laws or regulations
- Infringing intellectual property rights
- Uploading malicious code or viruses
- Attempting to gain unauthorized access
- Reverse engineering or decompiling the Services
- Reselling or sublicensing access
- Scraping or data mining
- Harassing, abusing, or harming others
- Circumventing usage limits or security
Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and may expose you to legal liability.
05 Your Data & Content
5.1 Ownership
You retain all ownership rights to your Customer Data. Buesuite does not claim any ownership interest in your data. We process your data solely to provide the Services as described in our Data Processing Agreement.
5.2 License to Buesuite
You grant Buesuite a limited license to host, process, transmit, and display Customer Data solely as necessary to provide the Services and as permitted by our Privacy Policy.
5.3 Data Responsibility
- You are responsible for the accuracy and legality of Customer Data
- You must have necessary rights and consents to upload data
- You are responsible for backing up your data
- You must comply with applicable data protection laws
5.4 Data Export
You may export your Customer Data at any time through the platform's export features. Upon termination, we will make your data available for export for 30 days.
We may collect and use aggregated, anonymized data that does not identify you or any individual for analytics, benchmarking, and service improvement purposes.
06 Fees & Payment
6.1 Subscription Fees
You agree to pay all fees specified in your Order Form. Fees are based on the subscription plan and number of users. All fees are quoted and payable in the currency specified in your Order Form.
6.2 Payment Terms
- Annual Plans: Invoiced annually in advance
- Monthly Plans: Charged monthly via credit card
- Payment Due: Within 30 days of invoice date (for invoiced plans)
- Late Payments: Subject to 1.5% monthly interest
6.3 Taxes
Fees are exclusive of all taxes, levies, or duties. You are responsible for paying all applicable taxes, except for taxes based on Buesuite's income.
6.4 Price Changes
We may change fees upon renewal with at least 60 days' prior notice. Price changes will not affect the current Subscription Term.
6.5 Refunds
Fees are non-refundable except as expressly set forth in this Agreement or as required by applicable law. If we fail to meet our SLA commitments, you may be eligible for service credits as described in our Service Level Agreement.
07 Intellectual Property
7.1 Buesuite IP
Buesuite and its licensors retain all rights, title, and interest in and to the Services, including all software, technology, documentation, trademarks, and other intellectual property. Nothing in this Agreement transfers any ownership rights to you.
7.2 Feedback
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant Buesuite a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into our products and services without obligation to you.
7.3 Restrictions
You shall not:
- Copy, modify, or create derivative works of the Services
- Reverse engineer, disassemble, or decompile the Services
- Remove or alter any proprietary notices or labels
- Use Buesuite's trademarks without prior written consent
08 Confidentiality
8.1 Definition
"Confidential Information" means any non-public information disclosed by either party that is designated as confidential or should reasonably be understood to be confidential, including business plans, technical data, pricing, and Customer Data.
8.2 Obligations
Each party agrees to:
- Protect Confidential Information with reasonable care
- Use Confidential Information only for purposes of this Agreement
- Not disclose Confidential Information to third parties without consent
- Limit access to employees and contractors with a need to know
8.3 Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no fault of the receiving party
- Was rightfully known prior to disclosure
- Is independently developed without use of Confidential Information
- Is rightfully received from a third party without restriction
09 Warranties & Disclaimers
9.1 Buesuite Warranties
Buesuite warrants that:
- The Services will perform materially in accordance with the Documentation
- We will provide the Services with reasonable skill and care
- We will maintain appropriate security measures
- We have the right to grant the licenses in this Agreement
9.2 Customer Warranties
You warrant that:
- You have the authority to enter into this Agreement
- Your use of the Services will comply with all applicable laws
- You have necessary rights to Customer Data
- Customer Data does not infringe any third-party rights
9.3 Disclaimer
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." BUESUITE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BUESUITE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
10 Limitation of Liability
10.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
10.2 Liability Cap

10.3 Essential Purpose
The limitations in this section apply even if any remedy fails of its essential purpose and regardless of whether a party has been advised of the possibility of such damages.
11 Indemnification
11.1 Buesuite Indemnification
Buesuite will defend, indemnify, and hold harmless Customer from any third-party claim that the Services infringe any patent, copyright, or trademark, or misappropriate any trade secret, and will pay any resulting damages or settlement costs.
11.2 Customer Indemnification
Customer will defend, indemnify, and hold harmless Buesuite from any third-party claim arising from: (a) Customer Data, (b) Customer's breach of this Agreement, or (c) Customer's violation of applicable laws.
11.3 Indemnification Process
- Prompt written notice of the claim
- Sole control of the defense and settlement
- Reasonable cooperation from the indemnified party
12 Termination
Expiration
This Agreement will automatically renew for successive terms unless either party provides written notice of non-renewal at least 30 days before the end of the current term.
Termination for Convenience
Either party may terminate with 30 days' written notice. No refund for unused subscription period unless otherwise agreed.
Termination for Cause
Either party may terminate immediately if the other party materially breaches and fails to cure within 30 days of written notice.
Effect of Termination
Upon termination: access ceases, fees become due, data export available for 30 days, data deleted after 90 days.
12.1 Survival
Sections relating to ownership, confidentiality, limitation of liability, indemnification, and governing law will survive termination of this Agreement.
13 Governing Law & Disputes
13.1 Applicable Law
The governing law and jurisdiction depend on your location:
India & APAC
Laws of India, Courts of New Delhi
European Union
Laws of Netherlands, Courts of Amsterdam
Americas
Laws of Delaware, Courts of Delaware
13.2 Dispute Resolution
Before initiating any legal proceeding, the parties agree to attempt to resolve disputes through good-faith negotiations for at least 30 days. For Enterprise customers, disputes may be submitted to binding arbitration under ICC Rules.
13.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
14 Changes to Terms
We may update these Terms of Use from time to time. When we make material changes:
- We will update the "Effective Date" at the top of this page
- We will notify you via email at least 30 days in advance
- We will display a prominent notice in the platform
- Material changes will not apply retroactively
Your continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you may terminate your subscription.
